Terms & Conditions

ALOHA LIFE LETTERS LLC

Aloha, and welcome to Aloha Life Letters. These Terms & Conditions are the friendly but binding agreement that governs your use of our website and everything we create and sell. We have kept the language warm and readable, yet this is a real contract, so please take a moment to read it.

1. About These Terms

Aloha Life Letters LLC ("Aloha Life Letters," "we," "us," or "our") is a small, independent art studio based in Kilauea, Kaua'i, Hawai'i, creating original, handcrafted Artwork and art-related products. These Terms & Conditions ("Terms") are the master agreement that governs your access to and use of our website, products, Subscriptions, digital offerings, educational content, and any future Services we offer. Additional policies referenced here, including our Privacy Policy, Refund, Cancellation & Subscription Policy, Shipping & Delivery Policy, Artwork & Copyright Policy, and others, are part of this agreement.

By visiting the Site, creating an account, placing an Order, or otherwise using our Services, you agree to these Terms and our related policies. If you do not agree, please do not use the Site or our Services. Where a specific program has its own separate terms (for example, a Course, Wholesale account, or Affiliate Program), those additional terms apply alongside these Terms, and if there is a direct conflict, the more specific terms control for that program.

2. Definitions

To keep the rest of this document simple, a few terms are used throughout: A full glossary of these defined terms is also available in our Defined Terms & Glossary.

• Affiliate: an approved participant in our Affiliate Program who refers Customers to us through a unique link or code, as described in our Affiliate Program Terms.

• Artwork: the original images, illustrations, and designs we create, in any form, whether sold as a physical product, an Original Artwork, or a Digital Product.

• Course: an online educational course we offer, including its lessons, videos, downloads, and related materials (collectively, our Courses).

• Customer (or "you"): any person who visits the Site, creates an account, or purchases or uses our Services.

• Customer Account: the personal, password-protected account you create on the Site to place and manage Orders, Subscriptions, Digital Products, and access to Member Areas.

• Digital Product: any item delivered electronically rather than by mail, including digital downloads, printable files, online Courses, and access to Member Areas.

• Event: an online or in-person event we host, such as a class, live session, or community gathering (collectively, our Events).

• Gift Subscription: a Subscription purchased by one person as a gift for another.

• Limited Edition: Artwork produced in a stated, limited quantity, as opposed to open or ongoing editions.

• Member Area: any password-protected space we may offer, such as Course content or a subscriber or community area, where offered.

• Order: your purchase of any product or Service through the Site, whether a one-time purchase, a Subscription, a preorder, or a Gift Subscription.

• Original Artwork: a one-of-a-kind, individually created physical piece, as opposed to a print or reproduction.

• Services: everything we offer through the Site, including sales of products, Subscriptions, Digital Products, Courses, Workshops, Events, Member Areas, and related features, whether currently available or offered in the future.

• Site: our website at https://www.alohalifeletters.com and https://www.thealohalifeletters.com, together with related pages and tools we operate.

• Subscription: any recurring plan we offer, such as our monthly snail-mail art Subscription, billed on a repeating basis until canceled.

• Unexpected Surprises: occasional complimentary items we may include with Orders or Subscriptions at our sole discretion, such as original Artwork, miniature paintings, sketches, artist proofs, bookmarks, stickers, keepsakes, handwritten notes, or other creative gifts or keepsakes. They are complimentary and not guaranteed with every Order or Subscription; they may vary from shipment to shipment and may change over time. Receiving one does not transfer any copyright or other intellectual property rights unless expressly stated in writing.

• User Content: anything you submit to us or post in our spaces, including reviews, comments, photos, form responses, and feedback.

• Wholesale Partner: an approved business or retailer that purchases eligible products at Wholesale pricing for resale, as described in our Wholesale Terms.

• Workshop: a live or recorded instructional workshop or session we offer (collectively, our Workshops).

3. What We Offer

Aloha Life Letters is an art business. Our offerings are grouped into a few broad categories, and specific products within each may be added, changed, or retired over time:

• Physical art and paper goods: such as prints, Original Artwork, mini canvases, greeting cards, stickers, bookmarks, and seasonal or holiday collections, including Limited Editions and open editions.

• Subscriptions: such as our monthly snail-mail art Subscription, Gift Subscriptions, waitlists, and preorders.

• Digital Products and education: such as digital downloads, online Courses, Workshops, and Events, including access to Member Areas.

• Accounts and communications: such as Customer Accounts and our email newsletter.

• Partner programs: such as an Affiliate Program and Wholesale accounts.

Not every offering is available at all times. Some are current, and some are planned for the future, and features described in these Terms apply only where and when actually offered. Availability, pricing, and features may change at our discretion. We may offer online Courses, educational resources, and other learning experiences from time to time.

4. Eligibility and Your Account

The Site is intended for adults. You must be at least 18 to make a purchase or create an account, or have the involvement and permission of a parent or legal guardian. The Site is not directed to children under 13, and we do not knowingly collect personal information from them.

If you create a Customer Account, you are responsible for keeping your login details secure and for all activity under your account. Please tell us promptly if you believe your account has been used without your permission. We may suspend, limit, or terminate an account, cancel Orders, or refuse service, with or without notice, in cases including fraud, chargeback abuse, copyright infringement, harassment or abusive conduct, unlawful activity, or repeated or serious violations of these Terms or our other policies.

5. Electronic Communications

By using the Site or placing an Order, you consent to receive communications from us electronically, including by email and through your account. This includes messages relating to your Orders, Subscriptions, billing and payments, account notices, and legal notices. You agree that electronic communications satisfy any legal requirement that such notices be in writing. Marketing emails are optional, and you may opt out of them at any time using the unsubscribe link, though we may still send you service and transactional messages.

6. Orders, Pricing, and Payment

When you place an Order, you are making an offer to purchase. We confirm Orders electronically, and a contract is formed once we accept and process your Order. Prices are shown in U.S. dollars and may change over time.

We work hard to present our studio accurately, but occasional errors happen. We reserve the right to correct pricing errors, typographical errors, product descriptions, photographs, and inventory or availability mistakes, and to change, refuse, or cancel an Order affected by such an error, at any time before or after an Order is placed, even after it is confirmed. If we cancel an Order for this reason, because an item is unavailable, or because we suspect fraud, we will refund any amount already charged.

Payments are handled securely by our third-party payment processors. We do not store your full card details. By submitting payment, you confirm that you are authorized to use the provided payment method and to authorize the charge, including any recurring charges for any Subscription.

7. Product Availability

Because our work is handcrafted and often produced in small batches or limited runs, products and Services may change, be discontinued, sell out, be retired, or have limited availability at any time and without notice. Quantities may be limited, and Original Artwork is often unique and available only once. Listing a product does not guarantee its availability, and we are not obligated to restock any item.

Edition sizes for a Limited Edition are determined solely by Aloha Life Letters LLC. A Limited Edition may permanently sell out, and once an edition is closed, it will not be reproduced as that same Limited Edition, though this does not restrict our ability to offer open editions or other lawful works in the future.

8. Handcrafted and Original Artwork

Our products are handcrafted or individually produced, often in small batches, so natural variation is expected. Because each piece is made or finished by hand, printing may vary slightly between pieces; small natural variations occur; no two pieces of Original Artwork are identical; and measurements and dimensions are approximate unless otherwise stated. These characteristics are features of handmade Artwork, not defects.

Product photographs are representative. Because Artwork is handcrafted, individually signed, or naturally variable, the item you receive may differ slightly from the photographs shown on the Site. Colors may also appear differently depending on your monitor, printer, tablet, phone, lighting conditions, and display settings, and such color variation does not constitute a defect.

Signatures are individually applied by hand and may naturally vary from one piece to another. This variation is expected and does not affect the authenticity of the Artwork.

9. Subscriptions, Gifts, and Preorders

Our monthly snail-mail art Subscription and any other recurring plans are billed on a repeating basis through our payment processors until you cancel. Detailed billing, renewal, cancellation, Gift Subscription, waitlist, and preorder terms are set out in our Refund, Cancellation & Subscription Policy, and Gift Subscription terms are set out in our Gift Subscription Terms; both are part of this agreement.

How to cancel a Subscription: You can cancel a Subscription at any time through your Customer Account or by emailing us at aloha@alohalifeletters.com. Cancellation stops future renewals; if the current cycle's mailing has already entered production, that mailing will still be sent to you. Full cancellation, billing, and refund details are in our Refund, Cancellation & Subscription Policy.

Surprise and delight are part of the Aloha Life Letters experience. For Subscriptions and curated mailings, the inserts and contents vary from month to month; we may occasionally make substitutions of equal or greater value; and contents may differ between subscribers when necessary, such as due to availability. We may also include Unexpected Surprises, which are complimentary, not guaranteed, and do not transfer any copyright or other intellectual property rights to you.

Subscription integrity. To keep things fair for everyone, you agree not to abuse promotions or discounts, initiate repeated or bad-faith chargebacks, engage in fraudulent Subscription activity, create multiple accounts to circumvent limits or restrictions, resell subscriber-only benefits, items, or access, or use bots, scripts, automated purchasing, or any other automated means to obtain products, promotions, or benefits unfairly. We may cancel Subscriptions and Orders and close accounts engaged in this conduct.

10. Shipping, Refunds, and Returns

Because physical products are printed and handmade, and Digital Products and Course access are delivered electronically, specific rules apply to delivery, refunds, and cancellations. Please review our Shipping & Delivery Policy and our Refund, Cancellation & Subscription Policy, both of which are part of this agreement.

11. International Customers

We ship from the United States and also offer international shipping to the destinations available at checkout. For international Orders, you are the importer of record and are responsible for any customs duties, VAT, import taxes, and other charges, as well as compliance with the laws and regulations of your country. Such charges are not included in our prices or shipping fees, and Orders refused or returned due to unpaid charges are subject to our Refund, Cancellation & Subscription Policy. Customs and import delays, and the handling and delivery practices of foreign postal services and international carriers, are outside Aloha Life Letters' control. If you access the Site from outside the United States, you are responsible for complying with your local laws.

12. Intellectual Property

All Artwork, images, designs, text, logos, and brand elements on the Site and in our products, including the original works created by Kelly Valencia, are owned by Aloha Life Letters LLC or its licensors and are protected by copyright, trademark, and other laws. The "Aloha Life Letters" name and our logos are our trademarks.

Purchasing a product, Subscription, Digital Product, or Course does not transfer ownership of any intellectual property to you. It grants only a limited, personal, non-commercial license to enjoy what you bought, as described in our Artwork & Copyright Policy and, for Digital Products and Courses, our Digital Products, Courses & Member Area License Agreement. Any use beyond that limited license, including reproduction, resale, commercial use, redistribution, print-on-demand use, NFT creation, scraping, or use to train artificial intelligence or machine-learning systems, requires our prior written permission. Please refer to our Artwork & Copyright Policy and Copyright & Legal Permissions for full details.

13. Copyright Complaints

We respect the intellectual property of others and expect the same in return. We handle copyright complaints in accordance with applicable copyright law, including the Digital Millennium Copyright Act (DMCA) where it applies. If you believe content on the Site infringes your copyright, please send a written notice to aloha@alohalifeletters.com that includes: a description of the copyrighted work you claim has been infringed; identification of the material you believe is infringing and its location on the Site; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and your physical or electronic signature. 14. Acceptable Use and Community

When you use the Site and any Courses, Events, Member Areas, or comment or community spaces where offered, you agree to follow our Acceptable Use Policy and, where applicable, our Community Guidelines. In short: be kind, be honest, respect other people and our creative work, and do not misuse the Site or its content.

15. User Content and Feedback

If you submit User Content, including ideas, suggestions, reviews, photos, comments, or feedback, you grant us a non-exclusive, royalty-free, worldwide license to use it to operate, improve, and promote Aloha Life Letters, without any obligation to compensate you. You represent and warrant that you either own the User Content you submit or have all permissions and rights necessary to submit it and to grant this license, and that it does not infringe anyone’s rights. Please do not send us confidential information that you expect us to keep secret.

16. Third-Party Services and Links

Our Site is hosted on a third-party website platform and relies on trusted third-party providers, such as payment processors, hosting providers, analytics providers, advertising providers, and email marketing providers, to operate. The Site may also link to other websites. We do not control these third parties, and we are not responsible for their content, products, or privacy practices. Your use of them is governed by their own terms and policies. Details of how these providers handle your information are in our Privacy Policy.

17. Disclaimers

The Site and Services are provided "as is" and "as available." While we pour genuine care into everything we make, we cannot promise the Site will always be uninterrupted or error-free, and we disclaim all warranties to the fullest extent permitted by law, except those that cannot legally be excluded. Any guidance in our Courses, Workshops, or educational content is provided for educational purposes only, is not a guarantee of any particular result, and is not legal, financial, tax, or professional advice. 18. Limitation of Liability

To the fullest extent permitted by law, Aloha Life Letters LLC and its owner, team, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising from or relating to the Site, our physical products, Digital Products, Subscriptions, educational content, online Courses, or any other Services, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages. This includes, without limitation, damages related to delivery delays, product variations, reliance on educational content, or interruptions to Digital Products or Member Areas.

Where liability cannot lawfully be excluded, our total liability for any claim relating to a product or Service will not exceed the amount you paid us for that product or Service in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

19. Indemnification

You agree to indemnify and hold harmless Aloha Life Letters LLC and its owner, team, contractors, and affiliates from any claims, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or relating to your misuse of the Site, the Services, our Digital Products, our Artwork, your Customer Account, or our intellectual property; your violation of these Terms or applicable law; or your infringement of anyone’s rights.

20. Force Majeure

As a Hawaiʻi-based studio that sends physical mail across the ocean, we depend on carriers, suppliers, and infrastructure we do not control. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including hurricanes, tropical storms, flooding, earthquakes, volcanic activity, wildfires, other severe weather or natural disasters, USPS or other carrier disruptions, transportation interruptions, supply shortages, labor disputes, internet or utility outages, governmental actions, pandemics, and other events beyond our reasonable control. If such an event occurs, our time to perform is extended for the duration of the event, and we will make reasonable efforts to resume promptly.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Hawaiʻi, without regard to its conflict-of-law rules. We hope any concern can be resolved by simply reaching out to us first. If a dispute cannot be resolved informally, you agree that it will be handled exclusively by the state or federal courts located in Hawaiʻi, and you consent to their jurisdiction and venue.

Individual Action; Class Action Waiver. To the fullest extent permitted by law, you and Aloha Life Letters LLC agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and we each waive any right to participate in a class action, class arbitration, or other representative action regarding any dispute.

Jury Trial Waiver. To the fullest extent permitted by law, you and Aloha Life Letters LLC each waive any right to a trial by jury in any dispute or proceeding arising out of or relating to these Terms, the Site, or our Services.

22. Assignment

Your Customer Account, Subscription, and any license granted to you are personal to you and may not be assigned or transferred to anyone else without our prior written permission. We may assign or transfer our rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, restructuring, or other business transfer, and these Terms will bind and inure to the benefit of any permitted successors.

23. Survival

Any provisions that by their nature should continue after these Terms end will survive termination, including those relating to intellectual property and licenses, User Content, indemnification, disclaimers, limitations of liability, dispute resolution and governing law, and any payment obligations you have incurred.

24. Entire Agreement

These Terms, together with the policies and any program-specific terms referenced here, make up the entire agreement between you and Aloha Life Letters LLC regarding the Site and Services, and they replace any prior understandings on that subject.

25. Severability

If any part of these Terms is found unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest will remain in full force and effect.

26. Waiver

If we do not enforce a provision of these Terms, that does not waive our right to enforce it later. Any waiver must be in writing to be effective.

27. Reservation of Rights

Aloha Life Letters LLC reserves all rights not expressly granted to you under these Terms or any applicable license.

28. Export Compliance

You agree that Digital Products and other Services may not be downloaded, exported, or used in violation of applicable U.S. export control laws, sanctions, or trade restrictions, and you are responsible for complying with those laws where they apply to you.

29. Changes to These Terms

As our studio grows, we may update these Terms from time to time. When we do, we will change the "Last Updated" date above and post the revised version on the Site. Your continued use of the Site or Services after an update constitutes your acceptance of the updated Terms.
