Wholesale Terms

We are honored when shops, galleries, boutiques, and other retailers choose to carry Aloha Life Letters. If and when Wholesale accounts are open, these terms describe how Wholesale ordering works. They apply in addition to our Terms & Conditions and the rest of our legal suite.

1. About Wholesale

We offer selected products, such as prints, greeting cards, stickers, and bookmarks, for Wholesale purchase by approved businesses ("Wholesale Partners") for resale in their stores. Wholesale is by approval and may not be available at all times.

2. Eligible Wholesale Partners

Wholesale accounts are intended for legitimate retail businesses and approved organizations purchasing for resale. To apply, please provide the information we request, which may include a business name, resale or tax identification, and your storefront or website. We may request additional documentation to verify eligibility, and we may approve or decline any application at our discretion.

3. Ordering, Minimums, and Availability

Wholesale pricing, minimum Order quantities, and available products will be provided in our Wholesale catalog or line sheet. Submitting an Order does not guarantee acceptance, and an Order becomes binding only once we accept it. Prices and terms may change, and Orders are subject to availability. Because many items are handcrafted in batches, quantities may occasionally be limited by production capacity or availability, and lead times apply and will be communicated with your Order.

4. Payment

Wholesale Orders are payable as stated on your invoice, typically in advance for new partners, through our accepted payment methods. Unpaid invoices may delay shipment, and, where permitted by applicable law, ownership of the goods remains with Aloha Life Letters LLC until payment is received in full. Applicable taxes or a valid resale certificate are the responsibility of the Wholesale Partner.

5. Shipping and Risk

We ship Wholesale Orders from Hawaiʻi, and shipping costs and estimated timelines will be provided at the time of order. Estimated shipping dates are not guaranteed, and delays caused by carriers or by circumstances outside our reasonable control do not create liability for us. The risk of loss passes to the Wholesale Partner once the Order is handed over to the carrier. Please inspect your Order promptly and report any damage, defect, or shortage within 7 days of delivery, following the reporting steps in Section 10 (Returns and Cancellations). Our Shipping & Delivery Policy applies alongside these terms.

6. Reselling Our Products and Brand Protection

Wholesale Partners may resell our products in their physical and online stores. To protect our creative work and our brand:

• Products must be sold as supplied, without removing labels, replacing branding, rebranding the products, or altering packaging in ways that imply the products were created by someone else.

• You may not misrepresent the origin of the Artwork or remove our branding, signatures, or copyright notices.

• The Wholesale purchase does not transfer any copyright or grant rights to reproduce, reprint, or create derivative products from our Artwork.

• Our Artwork and images may not be used for print-on-demand, merchandise, NFTs, AI training, dataset creation, text and data mining, scraping, or substantially similar technologies without our written permission. We ask that you represent our brand in a manner consistent with its warm, handmade spirit.

• Without our prior written permission, Wholesale Partners may not resell our products on third-party online marketplaces such as Amazon, Etsy, eBay, or Walmart. Wholesale Partners may sell through their own physical stores and their own branded online store.

7. Image Use

Wholesale Partners may use only the marketing images we expressly provide or approve, keeping our credit and marks intact. Downloading images from the Site or our social media for commercial use is not permitted unless we specifically authorize it.

8. Pricing and Marketplace Policies

From time to time, Aloha Life Letters may establish suggested retail pricing, minimum advertised pricing, or additional marketplace restrictions for Wholesale products. Apart from the third-party marketplace restriction described in Section 6, we do not require any specific pricing or marketplace policy today, and if we ever adopt additional requirements, we will communicate them to Wholesale Partners separately.

9. Product Changes

Aloha Life Letters reserves the right to discontinue products, retire collections, update packaging, or make minor product refinements from time to time, without prior notice, as reasonably necessary as our products and collections evolve.

10. Returns and Cancellations

Change-of-mind returns are generally not accepted for Wholesale Orders once production has begun. Items that arrive damaged, defective, or incorrect will be replaced or credited when reported within 7 days of delivery. To report a problem, email us at aloha@alohalifeletters.com and include your invoice number, photos of the damaged products, and photos of the packaging. We may cancel or adjust an Order if items become unavailable. Our Refund, Cancellation & Subscription Policy applies alongside these terms.

11. Termination

Either party may end the Wholesale relationship at any time, and we may decline or stop supplying Orders that conflict with these terms or our brand values. Upon termination, Wholesale marketing materials must no longer be used; any outstanding payment obligations survive, and inventory you have already purchased may continue to be sold unless we agree otherwise.

These terms work together with our Terms & Conditions, Shipping & Delivery Policy, Refund, Cancellation & Subscription Policy, Artwork & Copyright Policy, and Copyright & Legal Permissions, which also apply to Wholesale Partners.
